New privileges of minor shareholders

Today  there came into force the act of 5th December 2008 y. on amendment of act Code of Commercial Companies (Dz.U. 2009 No. 13 Item 69). Provisions of Commercial Companies Code amended under today?s novelisation strengthen the position of minor shareholders of joint-stock companies and grant new prerogatives to supervisory boards of these companies. Interests are due regardless of intention of the parties

We may recently observe that entrepreneurs encounter problems to maintain financial liquidity. And since turnover credits are rather difficult to obtain there is a permanent deficit of cash on the market. As a consequence entrepreneurs try to impose distant terms of payment on their contractors. However even if parties agree to postpone the term of payment that does not exclude interests on the payment.

Running a subsidiary company just became easier

Recent novelisation of Code of Commercial Companies derogated certain formalities regarding single-member companies. Currently a parent company may conclude an agreement with its subsidiary without preserving written form with signatures certified by a notary public.
